Our Terms and Conditions outline the agreement between Kuan Media Productions and our clients, ensuring a clear understanding of our services, payment terms, intellectual property rights, and responsibilities. By engaging with us for animation, production, design, or other creative projects, clients agree to key provisions such as payment schedules, revision policies, and timelines. We prioritize confidentiality, professionalism, and high-quality deliverables while reserving the right to showcase completed projects unless bound by a Non-Disclosure Agreement (NDA). Governed by the laws of the Philippines, these terms foster a collaborative and transparent working relationship, ensuring mutual satisfaction and legal clarity.
1. Agreement to Terms By availing of Kuan Media Productions’ services, you (the "Client") agree to be bound by these Terms and Conditions. This agreement constitutes a binding contract between Kuan Media Productions (the "Company") and the Client.
2. Scope of Services Kuan Media Productions offers animation, production, design, and related creative services as specified in the Client’s proposal or service agreement. The exact scope of work will be detailed in a written contract or proposal.
3. Payment Terms
A non-refundable deposit of 50% of the total project cost is required upon acceptance of the proposal.
The remaining balance is due upon project completion, prior to final delivery.
Payments must be made through approved methods as specified in the invoice.
Late payments may incur additional charges or delay project delivery.
4. Revisions Policy
The project includes up to three (3) rounds of revisions unless otherwise stated in the agreement.
Additional revisions or changes outside the agreed scope will be billed at an hourly or per-task rate.
5. Intellectual Property Rights
Upon full payment, the Client will receive the rights to the final deliverables.
Kuan Media Productions retains the right to showcase the work in portfolios, promotional materials, or industry-related events unless a Non-Disclosure Agreement (NDA) is in place.
Raw project files (e.g., source files, drafts) remain the property of Kuan Media Productions unless otherwise agreed upon.
6. Confidentiality Both parties agree to keep project details and proprietary information confidential unless consent is provided in writing.
7. Client Responsibilities
The Client must provide clear and timely communication, materials, and approvals as needed to avoid delays.
Any delays caused by the Client may affect project timelines and incur additional costs.
8. Timelines and Delivery
Kuan Media Productions will adhere to agreed-upon timelines as much as possible but is not liable for delays caused by factors beyond its control, including but not limited to force majeure events.
Deliverables will be provided in the agreed format and resolution.
9. Termination
Either party may terminate the agreement with written notice. Upon termination, the Client is responsible for payment of all completed work and any incurred costs up to the termination date.
The Company reserves the right to terminate services for breach of terms or inappropriate behavior.
10. Liability
Kuan Media Productions is not liable for any indirect, incidental, or consequential damages arising from the use of deliverables.
The Client agrees to indemnify the Company against any claims or damages resulting from the use of the project deliverables.
11. Governing Law This agreement is governed by the laws of the Republic of the Philippines. Any disputes shall be resolved through mediation or arbitration within the jurisdiction of Cebu City.
12. Amendments Kuan Media Productions reserves the right to update or amend these Terms and Conditions at any time. Clients will be notified of significant changes.
By proceeding with the project, the Client acknowledges and agrees to these Terms and Conditions.
